Representative Matters

Johns, Flaherty & Collins worked with a local business owner who wanted to sell some real estate and also bring his children into the business. Attorneys counseled the business owner to separate the real estate and improvements into one business entity and the business itself into another, thereby making a buy-in to the business entity more affordable for his children and setting the stage for the children to eventually buy the whole operation. It also allowed the business owner to hold onto some of his property and derive from it income that was not subject to Social Security taxes.


A local rental property business owned an apartment building that another party wanted to purchase. It was an attractive offer, but the owner wasn't ready to get out of the property rental business. Johns, Flaherty & Collins helped him establish a "like-kind exchange" that allowed him to carry over the basis on that property sale to purchase two others without having to pay any capital gains on the first sale. 


A client recently sold three commercial properties with three franchised restaurants operating on the properties. The transactions were complicated and required many details that needed to be satisfied prior to closing. Further, the timetable to accomplish the transactions were very tight.
